These Terms of Service ("Terms") govern your access to and use of QualityInvoice (the "Service"), a SaaS invoicing tool for freelancers, operated by Quality Plus Systems Inc ("Company", "we", "us", or "our"), a Delaware corporation located at 131 Continental Drive, Suite 305, Newark, DE 19713, USA.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms for that organization.

1. Subscription and Billing

• Billing Cycles: Subscriptions are billed on a monthly or annual basis.
• Payment: All payments are processed through third-party processors (e.g., Stripe). You agree to provide accurate billing information.
• Taxes: You are responsible for all applicable taxes based on your jurisdiction (US, Canada, Australia, EU).
• Price Changes: We reserve the right to modify subscription fees with at least 30 days' notice.

2. Account Responsibilities

• Eligibility: You must be at least 18 years old.
• Security: You are responsible for maintaining the confidentiality of your account credentials.
• Accuracy: You must provide accurate and complete information when creating an account.

3. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to interfere with the proper working of the Service.
• Generate fraudulent invoices or engage in financial deception.
• Scrape, decompile, or reverse engineer the Service.

4. Termination

• By You: You may cancel your subscription at any time via your account settings.
• By Us: We may suspend or terminate your account for violations of these Terms or non-payment.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. We are not responsible for data loss resulting from termination.

5. Limitation of Liability

To the maximum extent permitted by law, Quality Plus Systems Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

6. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

7. Refund and Cancellation

You may cancel your subscription at any time. We generally do not offer refunds for partial subscription periods. For detailed information, please refer to our billing dashboard or contact support.
